MEMBERSHIP TERMS & CONDITIONS
 
1.  Introduction
 
1.1.   Kazuacademy.com (hereinafter referred to as “the Platform”) is a platform provided by Respect Management Sdn Bhd (Company No. 1323662-U) (hereinafter referred to as “Respect Management”, “we”, or “us”), which allows access to, and/or ordering of, courses (hereinafter referred to as “Courses”) provided on https://kazuacademy.com.
 
1.2.  There are currently two types of membership (collectively, referred to as “Membership”) available on the Platform provided by Respect Management:
(a)    Individual Membership. You can apply for individual membership by selecting the Top Ranker option on the site.
(b)    Corporate Membership. Application for corporate membership can be made by selecting "Register as a Corporation" on the site. (Not available at this time)
Respect Management reserves the right to expand, reduce, or modify the categories of Membership listed on the site from time to time. The benefits provided by Respect Management vary according to the membership type as detailed in section 4 below.
 
1.3.  By applying for membership with Respect Management (hereinafter referred to as “Membership Application”), you agree to be bound by these Terms and Conditions (hereinafter referred to as “Terms”). These Terms constitute an agreement between you (hereinafter referred to as “Member”) and Respect Management and govern your membership on the Platform.
 
2.  Eligibility
 
2.1.   If a Member is under 18 years of age, or has not reached the legal age to agree to these Terms according to the laws of Malaysia, permission from a parent or legal guardian is required before using/accessing the site, submitting a membership registration, and/or accessing the services. If you are the parent or legal guardian of a minor, you are responsible for the minor's actions and the use of the site and/or purchases made on the site, in addition to accepting and complying with these Terms on behalf of the minor.
 
2.2.   If you do not agree to these Terms, or have not obtained consent from a parent or legal guardian, you must immediately cease using/accessing this site.
 
3.  Membership
 
3.1.  To browse/access Courses, you must first create a Member Account (hereinafter referred to as “Membership Account”) on the site and register with us. You must provide accurate and truthful information to us. Should there be any changes, you must promptly notify us by using the relevant section on the site to keep your information up to date.
 
3.2.  Once your Membership Application has been accepted by Respect Management, you must provide or update your information in the Member Account accessible from the site.
 
3.3.  Members are solely responsible for all activities that occur under their Member Account. Furthermore, Members agree that all use/access to the site and services, and all activities occurring under the Member Account (including but not limited to posting of corporate or product information, subscription to or payment for services, sending emails using the registered email account, or sending SMS) are authorized by the Member. 3.4.  Membership is personal to the Member and cannot be transferred or assigned.
3.5.  Membership on the Platform does not grant any rights or benefits in other programs, promotions, campaigns, or offers provided by Respect Management or its affiliates.

 
4.  Membership Benefits
 
4.1.  Members are provided with Membership Benefits (hereinafter referred to as “Member Benefits”) according to their category of Membership as follows:
(a)  Individual Members: Allowed to browse/access specific products including Top Ranker courses.
(b)  Company Membership: You may view, access and/or place an Order for all Products on the Site.
 
4.2.  Corporate Members: Can browse, access, and/or order as Individual Members or Corporate Members.
 
5.  Terms
 
5.1.  The validity period of Membership (hereinafter referred to as “Membership Period”) commences on the date of acceptance of the Membership Application (hereinafter referred to as “Start Date”) and remains valid until the services are terminated.
 
5.2.  Unless notified in writing to us, your account will be automatically renewed if there are sufficient funds in the subscription wallet and the card payment information is valid.
 
6.  Fees and Termination
 
6.1.  Respect Management reserves the right, at its absolute discretion, to impose and change the fees and charges (hereinafter referred to as “Membership Fee”) for each membership registration application. 
 
6.2.  By designating a credit account, debit card account, or e-wallet account (hereinafter referred to as “Designated Account”), Members authorize us to deduct all fees and other charges that may be incurred under these Terms from the Designated Account. Therefore, your account information must always be kept up to date. Respect Management may also use secure electronic payment gateway services to process all payments from Members.
 
6.3.   The Membership Fee is payable in full to us or our designated representative on the day the Membership Application is accepted. Monthly fees are automatically deducted from the charge money on the 15th of each month, or payment is made by credit card. If the monthly fee payment cannot be confirmed, the membership registration will be automatically deleted in accordance with the provisions of 6.6.
 
6.4.  Cancellation Application Period   Cancellation requests are accepted by sending an email to Academy Support one month before the cancellable month.
 
6.5.  Rules in Case of Charge Money Payment   When the charge balance falls below $100, an additional deposit of $300 is required.
  This fee is non-refundable. A grace period is granted for one month from the day the charge balance reaches $0, during which account recovery is permitted upon deposit.
  If the charge money is not paid within this grace period, the membership registration will be automatically deleted.
  For users who pay the charge money during the grace period, the monthly fee will be retroactively deducted.
 
6.6.  Fees charged to us due to rejection of payment attempts from you may be directly billed to you. If the payment remains unpaid, you agree that we may continue to deduct the total amount from the Designated Account without notice to you.
 
6.7.  Membership course and registration fee packages (Top Ranker course monthly fee $100, registration fee $200) cannot be canceled or refunded after payment.
 
7.  Termination of Membership
 
7.1.  Respect Management reserves the right to immediately and without notice restrict, suspend, or terminate Membership if any of the following occurs at its sole discretion:
(a)  The Member violates any term of these Terms.
(b)  Fails to pay the Membership Fee or renewal fee.
(c)  The information provided by the Member is false or inaccurate.
(d)   Participated in illegal or fraudulent activities, and/or used the Member Benefits to participate.
(e)   Conducted activities that do not align with Respect Management’s values (including but not limited to the use of abusive or offensive language, blasphemy, harassment, causing inconvenience to Respect Management or other Members), or other inappropriate conduct.
(f)   The Member failed to comply with policies, rules, and instructions as determined by Respect Management from time to time.
 
7.2.  For the avoidance of doubt, in the event Membership is terminated, restricted, or suspended in accordance with the above provisions, unless otherwise agreed by Respect Management, all payments made in relation to Membership will not be refunded.
 
7.3.  Termination or suspension of Membership, regardless of the reason, does not affect:
(a)  Rights, liabilities, or obligations that arose before the termination or suspension of Membership.
(b)  The right to payment.
(c)  Provisions of these Terms intended to remain effective after such termination or suspension.
 
8.  Your Privacy
 
8.1.  The collection and use of your personal information are subject to Respect Management’s Privacy Policy, which complies with the Personal Data Protection Act 2010. The details of your membership registration (including personal information) are collected and used for the purpose of managing the Platform (which may include disclosure to third parties located in countries as specified in the Privacy Policy for processing and management of the Platform) and for marketing and data analysis purposes.
 
8.2.  By submitting a Membership Application Form on the Platform, you are deemed to have consented to be bound by the Privacy Policy and these Terms and to receive marketing materials and other communications from Respect Management (if you are a minor, it is deemed that a parent or legal guardian has consented).
 
8.3.  The use of the site involves the electronic transmission of personal data through third-party connections. We do not operate or manage these connections and cannot guarantee the privacy or security of these data transmissions.
 
8.4.  You acknowledge and agree that Respect Management has the right to use, publish, and/or disclose your profile, photos, insignias, trademarks, trade names, links to your website/social media accounts, or other information obtained during the course of your transactions with Respect Management for marketing and advertising purposes of Respect Management (including posting your profile on the site, newsletters, and posters).
 
9.  Confidentiality
 
9.1.  Members are responsible for keeping their username, password, Member Account details, and billing information private and confidential, and not disclosing them to third parties. If it is suspected that someone other than the Member has attempted or accessed the Member's account, the Member shall promptly notify us ([email protected]).
 
9.2.  Each Member agrees to keep confidential any confidential information received from Respect Management in the course of obtaining Membership, or as a result of communications between the Member and Respect Management, and not to disclose such confidential information. Respect Management reserves the right to take legal and equitable remedies to further protect confidential information if it discovers that a Member has unlawfully disclosed or intends to disclose confidential information, whether directly or indirectly.
 
9.3.  For the purposes of this clause, “confidential information” refers to information related to Respect Management’ business and operations that is not publicly disclosed, including but not limited to:
(a)  Any nature of information concerning Respect Management’s business, finances, assets, liabilities, transactions, know-how, employees, members, customers, suppliers, agents, processes, or operations.
(b)  Information expressly stated to be confidential or provided under circumstances in which Respect Management has a duty of confidentiality.
 
10.  Interruptions
  While we take great care to maintain the continuity of the site, errors, omissions, interruptions, and delays can occur at any time. We shall not be liable for any downtime of the site or for any inability to place orders as a result, and you agree that we have no obligation or liability to operate or manage the site or any specific part thereof.
 
11.  Intellectual Property
  The copyright, database rights, trademark rights, design rights, and other intellectual property rights (hereinafter referred to as “Intellectual Property Rights”) of the site belong to us. Users may not reproduce, transmit, modify, republish, store, transfer, or link to any content or material on the site.
 
11.  Indemnification
  The user agrees to fully indemnify and hold harmless its officers, directors, agents, affiliates, licensors, and suppliers from all liabilities, claims, expenses, damages, and losses (including legal fees) arising from:
(a)  The user's use or misuse of the Platform.
(b)  The user's violation of these Terms.
(c)  Disputes with other members of the Platform, and/or
(d)  Acts or omissions by the user, including the use of the user’s Member Account by others to access the Platform, leading to violation of laws or infringement of third-party rights.
The user agrees to fully cooperate in the defense of any claim as reasonably requested. We reserve the exclusive right to defend and control any matter subject to indemnification by you.
 
13.  Exclusion of Liability
 
13.1  The Platform and all data and/or information contained on the Platform are provided “as is” and “as available” without any express, implied, or statutory warranties, representations, or claims. All data and/or information provided on the Platform are for informational purposes only. Respect Management reserves the right, at its sole discretion, to correct, modify, and/or delete such data and information at any time without any liability to you.
 
13.2  Respect Management shall not be liable, under any circumstances, for any death, injury, direct, indirect, incidental, special, consequential, punitive damages, or any other indirect damages or costs arising from or related to:
(a)  Access to, use of, or inability to access or use the Platform, or reliance on the content and/or information of the Platform;
(b)  Failure, error, omission, interruption, delay in transmission, or computer virus of the system, server, or connection.
(c)  Use of or access to other websites linked to the Platform. Even if we or our agents or employees were informed of the possibility of such damage, loss, and/or costs. Hyperlinks to other websites do not imply endorsement of such websites, and access to such websites is at your own risk.
 
13.3  As we do not have the obligation to monitor, manage, or guarantee the content on the Platform, we expressly disclaim all liability arising from or related to your use of the Platform. Furthermore, we reserve the right, at our sole discretion and without notice or liability, to review, edit, refuse, delete content, or terminate your access to the Platform at any time for any reason.
 
13.4  For clarification, users are always considered to be trading as entities, not as consumers in the sense of the Consumer Protection Act 1999 (“CPA 1999”), and none of the transactions and dealings under these Terms and/or the Platform and/or related matters shall be interpreted as falling within the scope of CPA 1999.
 
13.5  This exclusion clause shall have effect to the maximum extent permitted by Malaysian law.
 
14.  Compliance with Applicable Laws
  The user shall comply with all laws, regulations, rules, orders, or other legislative provisions applicable to the user in relation to these Terms.
 
15.  Governing Law and Jurisdiction
  These Terms shall be governed by Malaysian law, and the courts of Malaysia shall have exclusive jurisdiction over any matters arising from or related to Membership or these Terms.
 
16.  Force Majeure
  We shall not be deemed to be in violation of these Terms, nor shall we be liable in any way for any non-performance, suspension, or delay in performance caused by circumstances beyond our control, including but not limited to strikes, floods, fires, explosions, accidents, pandemics, system failures, and network access issues.
 
17.  Entire Agreement
  These Terms contain all the conditions agreed upon between the user and us regarding the subject matter hereof and shall take precedence over any previous agreements, understandings, or arrangements made between the user and us, whether oral or written.
 
18.  Severability
  If any provision of these Terms is found to be illegal, invalid, or unenforceable to any extent, such provision shall be deemed not to form part of these Terms, but the validity of the remainder of these Terms shall not be affected.
 
19.  Waiver
  Any delay or failure in the performance of these Terms by us, and any partial exercise of rights under these Terms, shall not be considered a waiver of any rights we have under these Terms.
 
20.  Assignment
  We may assign, transfer, or otherwise dispose of these Terms with notice to you. Under no circumstances may you assign, transfer, or otherwise dispose of these Terms.
 
21.  Changes
  We reserve the right to change, modify, add, or delete parts of these Terms at any time without prior notice to you. Changes become effective upon posting on the site, and no other notice will be given. Additionally, by posting on the site, you are deemed to be aware of and bound by such changes. Your continued participation as a member and/or continued use/access of the site is deemed acceptance of the modified conditions. We also reserve the right, at our sole discretion, to impose restrictions on certain features or to restrict access to part or all of the site without notice or liability.
 
22.  Third-Party Rights
  No third party shall have any right to enforce any condition contained in these Terms.
